AT&T and Centennial Communications Update Anticipated Completion Date for Acquisition of Centennial by AT&T
AT&T* and Centennial Communications Corp. (NASDAQ: CYCL) announced that they now anticipate the pending acquisition of Centennial by AT&T to be completed during the third quarter of calendar year 2009, assuming timely satisfaction or waiver of all remaining closing conditions. On November 7, 2008, the two companies entered into an agreement under which AT&T will acquire Centennial. Under the terms of the merger agreement, Centennial stockholders will receive $8.50 per share in cash.
The acquisition was approved by Centennial's stockholders in February 2009 and remains subject to approval by the Department of Justice and Federal Communications Commission and other customary closing conditions.
