VimpelCom's shareholders approve merger with Wind Telecom SpA
VimpelCom, Ltd.. "Renowned for its Beeline brand, announced today that its shareholders approved all items on the agenda of the Special General Meeting of shareholders held today, thus opening the way for completion of the union of VimpelCom and Wind Telecom SpA (" Wind Telecom ").
The Special General Meeting of Shareholders attended by shareholders representing 93.1% of the voting shares of the Company. Decisions of the Special General Meeting of Shareholders approved 53,3% of voting shares participating in the Assembly. Among the minority shareholders of the Company who participated in the Special General Meeting of Shareholders, 39.8% voted in support of decisions and 60,2% voted against the decision.
Closing requires mandatory conditions, such as the receipt of regulatory approvals and raising funds to finance transactions. The transaction is expected in the first half of 2011.
